
Private Funds Legal Counsel
We are partnering with a global asset manager in the private markets space who is now looking for a Legal Counsel with solid private funds experience, to join their business at a pivotal time of growth.
You will be the subject matter expert and trusted advisor within the firm, translating complex legal issues into clear, practical guidance and helping internal clients evaluate novel proposals and business objectives.
What will the role involve?
- Looking after the closed end and evergreen comingled funds and separately managed accounts based in Luxembourg, the US, and globally.
- Working with external counsel in drafting, reviewing and negotiating operative documents, such as limited partnership agreements, LLC agreements, subscription agreements, private placement memoranda.
- Primarily focusing on Luxembourg and UK law and liaising with the wider US legal team to increase their product offering across the EU, Middle East, Asia, and North and South America.
- Working with their structuring and product development teams to advise on structuring and closing/launching new funds and client agreements.
- Providing practical, risk-adjusted legal and commercial advice to internal clients and senior leadership.
- Lead strategic initiatives and special projects and help coordinate cross-group efforts that improve collaboration and consistency.
What technical skill-sets are we looking for?
- 5-10 years’ PQE in funds, in-house experience is preferable, although lawyers from private practice will also be considered.
- Experience in private equity funds and Luxembourg funds are key and a pre-requisite.
- Well-developed commercial judgment, with strong problem-solving skills and the ability to balance business goals, market practice and legal risk.
- Experience with legal AI tools is a plus.

You will be the sole lawyer in the London office, with the wider legal team being based in the US. You must therefore be someone who is pro-active, and can work independently and autonomously. There is plenty of scope in this role to really make their mark and carve out the role.
