Appleby’s cross-border Merger and Acquisition team has acted as lead counsel to Suntera Global in its acquisition of Carey Commercial Limited, a boutique Fund, Corporate and Private Wealth services provider.
Carey’s Corporate and Private Wealth offering complements and enhances Suntera’s current Guernsey one. Carey’s fast-growing fund administration division provides a broad fund offering including full-service fund administration, directorship services, listing services, investor services, company secretarial and corporate governance, risk and compliance services and international reporting (FATCA & CRS), and adds Guernsey as a new tier one fund jurisdiction for the firm.
A cross-border team of Appleby lawyers advised on legal due diligence, transaction documentation and regulatory aspects of the transaction. The Appleby team was led by Corporate Partner Andrew Weaver and included Partners Stuart Tyler and Richard Field, Group Partner Richard Sheldon (pictured) and Associates Angharad Prescott, Raphael Chitambira and Stephen Le Cornu. The transaction remains subject to customary regulatory approvals.
Alex Noel, Chief Financial Officer at Suntera Global, said: “I have been impressed throughout this transaction with the expertise, diligence and practical support provided by the Appleby team. Their advice was tailored, pragmatic and commercial in a challenging set of negotiations, underpinned by experience and creative flexibility alongside legal excellence.”
Andrew Weaver, Corporate Partner at Appleby, said: “We are delighted to have supported Suntera Global on this substantial development for their business in the Channel Islands, coming as it does on the back of a series of other mergers and acquisitions over the last few years where we have been pleased to play our role. Our lead counsel role, performed by a team across Guernsey and Jersey, showcases the strength and depth of Appleby’s cross-border M&A team and our ability to deal with complexity to achieve client-driven solutions.”
